Terms of Service

1. About these terms
These terms govern the provision of services by Samurai Solutions ("we", "us", "our"), a UK-based automation agency, to clients ("you", "your"). By engaging our services you agree to these terms in full. If you have any questions, contact us at hello@samuraisolutions.co.uk.
2. Services
We build and maintain automation systems for event service businesses. Our standard engagement comprises a one-time setup build and an optional ongoing monthly retainer. The scope of each engagement is agreed in writing before work begins.
3. Payment
The setup fee is payable before or at project kickoff unless a payment plan has been agreed in writing. Monthly retainer fees are invoiced monthly in advance and due within 14 days of invoice.
We reserve the right to pause or suspend services where invoices remain unpaid beyond 30 days. All fees are quoted exclusive of VAT where applicable.
4. Delivery and timelines
We target a 4-week build and launch timeline from kickoff. Timelines are estimates and may be affected by delays in receiving client access, content, or approvals. We will communicate any delays promptly.
5. Client responsibilities
You agree to:
- Provide accurate information about your business, systems, and requirements
- Grant us timely access to the systems and tools needed to complete the work
- Respond to requests for feedback or approvals within a reasonable timeframe
- Ensure you have the right to share any data, templates, or content you provide to us
6. Intellectual property
You retain ownership of your data, content, and brand assets at all times. On full payment of the setup fee, you receive a licence to use the automation system we build for your business. We retain ownership of our underlying methodologies, frameworks, and reusable components.
7. Confidentiality
Both parties agree to keep confidential any non-public information received from the other in connection with the engagement. This obligation survives termination of the agreement.
8. Cancellation
Either party may terminate the monthly retainer with 30 days' written notice. The setup fee is non-refundable once build work has commenced. We may terminate immediately if you breach these terms or if fees remain unpaid after 30 days.
9. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising from our services shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or loss-of-profit damages.
10. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to these terms
We may update these terms from time to time. We will notify active clients of material changes. Continued use of our services after changes constitutes acceptance of the updated terms.
